This User Payment Agreement (“Agreement”) is entered into by and between:
SPOTTED (Legal Name: AAR Tech Ventures Pvt. Ltd.), a company incorporated under the Companies Act, 2013, having its registered office at 703, 5A Shraddha CHSL, Thakur Complex, Kandivali East, Mumbai 400101, bearing Company Registration No. (CIN): U74110MH2019PTC319874 (hereinafter referred to as “SPOTTED”, “we”, “our”, or “us”), which operates the “Spotted” platform;
AND
The User, being any individual who earns cashback through eligible purchases made on or via the Spotted platform and withdraws such cashback (hereinafter referred to as “User”, “you”, or “your”).
WHEREAS
SPOTTED operates a digital payment platform that rewards Users with cashback on eligible purchases made through participating merchants.
Users may withdraw their earned cashback directly to their UPI-linked bank account without the need for KYC verification.
This Agreement governs all such payments initiated by Users on the Spotted platform.
1. DEFINITIONS
For the purpose of this Agreement:
“Cashback” means the promotional amount credited to the User’s wallet on the Spotted platform, funded either by SPOTTED or its partner merchants.
“Wallet” means the User’s cashback balance maintained digitally on the Spotted platform.
“Payment” or “Withdrawal” means the transfer of cashback funds from the User’s wallet to their specified UPI ID.
“Payment Partner” means any RBI-licensed payment aggregator, bank, or settlement partner integrated with SPOTTED for processing payments.
2. NATURE OF FUNDS
Cashback funds are promotional in nature and do not represent deposits or interest-bearing balances.
SPOTTED does not hold funds on behalf of Users. All payouts are processed through RBI-licensed payment partners.
SPOTTED acts solely as a facilitator for transferring cashback amounts to the User’s provided UPI ID.
3. PAYMENT PROCESS
Users can request payment of available cashback by entering a valid UPI ID linked to their own bank account.
No KYC verification is required; however, SPOTTED reserves the right to request additional details in case of suspicious or high-value transactions.
Cashback once transferred cannot be reversed or re-credited.
4. FEES & CHARGES
SPOTTED does not levy any fee or charge for processing payments.
The full eligible cashback amount is transferred to the User’s UPI-linked bank account.
5. USER OBLIGATIONS
The User agrees to:
Provide a valid and correct UPI ID for payment.
Ensure that the UPI ID belongs to them and is linked to their personal bank account.
Use the payment feature only for lawful purposes.
Not attempt to manipulate or misuse cashback programs through fake transactions, multiple accounts, or other fraudulent means.
6. LIABILITY
SPOTTED shall not be liable for:
Failed or delayed transactions caused by bank or UPI network outages.
Incorrect UPI ID or account details provided by the User.
Delays caused by third-party payment gateways or settlement banks.
In the event of a failed transfer, the cashback amount will be reinstated to the User’s Spotted wallet balance once confirmed by payment partners.
7. FRAUD & MISUSE
SPOTTED reserves the right to:
Block payments in cases of suspected fraud, fake transactions, or policy violations.
Reverse or cancel cashback credited erroneously or obtained through abuse of the platform.
Report such activities to relevant authorities if necessary.
8. DATA PRIVACY
SPOTTED processes User data in compliance with its Privacy Policy and applicable Indian data protection laws.
By initiating a payment, the User consents to the sharing of relevant data with authorized payment partners solely for payout processing.
9. TERMINATION OR MODIFICATION
SPOTTED may modify or discontinue the cashback payment feature at any time, with reasonable notice via the platform or app.
Any cashback already earned and eligible for payment will remain valid until withdrawn or expired as per policy.
10. FORCE MAJEURE
SPOTTED shall not be liable for payment delays or failures due to events beyond its control, including bank server downtime, network failure, or regulatory restrictions.
11. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai.
12. CONSENT & ACCEPTANCE
By clicking “Withdraw” or using the payment feature on the Spotted platform, you confirm that you have read, understood, and agree to the terms of this User Payment Agreement.
No signature is required. Consent is legally valid through checkbox selection or continued use of the platform.
